1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and SvartxLab ("Company," "we," "our," or "us") governing your use of our B2B e-commerce platform and purchase of thermal logistics products.
By accessing our platform or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Business Relationship
Our services are exclusively for business-to-business (B2B) transactions. By using our platform, you represent and warrant that:
- You are a duly registered business entity
- You have the authority to enter into binding contracts on behalf of your organization
- You will use our products for commercial purposes only
- All information provided is accurate and up-to-date
3. Products and Services
3.1 Product Description
We offer ProThermo™ thermal delivery bags and custom logistics solutions. Product specifications, dimensions, and features are described on our platform. We reserve the right to modify product specifications with reasonable notice.
3.2 Minimum Order Quantities
- Stock Products: Minimum order of 100 units
- Custom Projects: Minimum order of 5,000 units
3.3 Availability
Product availability is subject to stock levels. We will notify you promptly if ordered items are unavailable and offer suitable alternatives or refunds.
4. Account Registration and Usage
4.1 Account Creation
To place orders, you must create a business account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities conducted under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account information remains current
4.2 Prohibited Activities
You agree not to:
- Use the platform for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the platform's functionality
- Resell products in violation of applicable laws
- Reverse engineer or copy our proprietary technology
5. Pricing and Payment
5.1 Pricing
All prices are quoted in Euros (EUR) and exclude VAT unless otherwise stated. Prices are subject to change without notice, but orders placed at a quoted price will be honored.
5.2 Payment Terms
- Payment Methods: Credit card, bank transfer, or approved payment terms
- Payment Processing: Secure processing through Stripe
- Payment Due: Payment is due upon order placement unless credit terms are approved
- Late Payments: Interest may accrue at 1.5% per month on overdue amounts
5.3 Taxes
You are responsible for all applicable taxes, duties, and customs fees. We will add VAT to invoices for EU customers where required.
6. Orders and Acceptance
6.1 Order Process
Placing an order constitutes an offer to purchase. We reserve the right to accept or reject any order at our discretion. Order acceptance occurs when we send an order confirmation email.
6.2 Order Cancellation
- By Customer: Orders may be cancelled within 24 hours of placement. Custom orders cannot be cancelled once production begins.
- By Company: We may cancel orders due to product unavailability, pricing errors, or suspected fraud.
6.3 Order Modifications
Modifications to accepted orders must be requested in writing and are subject to our approval and potential additional charges.
7. Shipping and Delivery
7.1 Shipping Locations
We currently ship to Spain and Portugal. Additional locations may be available upon request.
7.2 Delivery Times
Estimated delivery times are provided at checkout. Actual delivery may vary due to factors beyond our control. We are not liable for delays caused by shipping carriers or customs.
7.3 Risk of Loss
Risk of loss and title pass to you upon delivery to the carrier. You are responsible for filing claims with the carrier for damaged or lost shipments.
8. Returns and Refunds
8.1 Return Policy
Returns are accepted within 30 days of delivery for defective products only. Custom orders are non-returnable unless defective.
8.2 Return Process
Questions about the Terms of Service should be sent to us at info@svartxlab.com. Returns must be in original packaging and unused condition.
8.3 Refunds
Approved refunds will be processed within 14 business days to the original payment method. Shipping costs are non-refundable unless the return is due to our error.
9. Warranties and Disclaimers
9.1 Limited Warranty
We warrant that our products will be free from defects in materials and workmanship under normal use for a period of 12 months from delivery. This warranty does not cover damage from misuse, improper storage, or normal wear and tear.
9.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED ABOVE, ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless SvartxLab and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your violation of these Terms
- Your use of our products
- Your violation of any third-party rights
- Any fraudulent or illegal activities
12. Intellectual Property
All content on our platform, including text, graphics, logos, images, and software, is the property of SvartxLab and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
The ProThermo™ trademark and all related marks are owned by SvartxLab. Unauthorized use is prohibited.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of Spain, without regard to conflict of law principles.
13.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Madrid, Spain, in accordance with the rules of the Spanish Arbitration Court.
13.3 Waiver of Class Actions
You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
14. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the platform ceases immediately.
15. Changes to Terms
We reserve the right to refuse service to anyone for any reason at any time. We may limit the sales of our products or Services to any person, geographic region, or jurisdiction. Continued use of our services after changes constitutes acceptance of the modified Terms.
